Terms of Service

Welcome to ATAC Global CX. These Terms of Service (the "Terms") govern your access to and use of the ATAC Global CX credentialing platform, websites, and related services (collectively, the "Services") operated by ATAC Anagenesis Inc. ("ATAC," "we," "us," or "our"), a corporation incorporated in the Province of Ontario, Canada.

By creating an account, purchasing a certification, or otherwise using the Services, you ("you" or "Candidate") agree to be bound by these Terms. If you do not agree, do not use the Services.

1. The Services

ATAC Global CX provides blockchain-verified professional certifications for remote customer experience (CX) professionals. Our Services include:

• Assessment creation, delivery, and scoring (the "Assessments")
• Credential issuance, including permanent records written to a public blockchain
• AI-powered readiness simulation (the "ATAC Call Readiness Simulator™")
• Employer portal features for organizations purchasing bulk seats
• Access to the ISORA learner community platform

2. Eligibility and Account Creation

You must be at least 18 years of age and legally capable of entering into a binding contract to use the Services. You agree to provide accurate, current, and complete registration information and to keep it updated.

You are responsible for maintaining the confidentiality of your account credentials. You must not share your account, assist another person in creating an account on your behalf, or use another Candidate's account.

3. Certification Integrity

ATAC credentials are trusted by employers worldwide because we enforce strict integrity standards. By using the Services, you agree that:

• You will personally complete all Assessments assigned to your account
• You will not share Assessment questions, answers, or study guides with any person or third party
• You will not use AI tools, collaboration, or unauthorized reference materials during timed Assessments
• You will not attempt to reverse engineer, tamper with, or exploit the Services

Fraud consequences: If ATAC determines, in its reasonable discretion, that a credential was obtained through fraudulent means, impersonation, unauthorized assistance, or violation of these Terms, the credential will be revoked. Revocation includes permanent public marking on the blockchain record. ATAC may also publish revocation notices to employers who have verified the credential.

4. Fees and Payment

Certain Services require payment. Current pricing is displayed at checkout. All fees are in U.S. dollars unless otherwise specified. Taxes are added where applicable.

Payments are processed securely by Stripe Inc. ATAC does not store your full payment card details. By completing a purchase, you authorize us (through Stripe) to charge your payment method for the displayed amount.

Refunds are governed by our Refund Policy, which is incorporated into these Terms by reference.

5. Blockchain Credential Records

When you earn a credential, a minimum record is written permanently to a public blockchain. This record is immutable and cannot be deleted, even if you close your account. For full details, see our Blockchain Credential Disclosure.

You acknowledge that blockchain records are irreversible and that ATAC cannot remove credential data from the blockchain at your request.

6. Intellectual Property

All content, software, designations ("CRSA," "CRSS," "CCSA," etc.), assessment items, simulator scenarios, methodology, and trademarks on the Services are the exclusive property of ATAC Anagenesis Inc. or its licensors.

You receive a limited, non-exclusive, non-transferable, revocable license to use the Services solely for your personal certification purposes. You do not acquire any ownership rights in ATAC intellectual property.

You must not copy, distribute, publish, or create derivative works from ATAC content without our express written permission. Screenshotting, recording, or transcribing Assessment content is strictly prohibited.

7. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law
• Impersonate any person or misrepresent your affiliation with any organization
• Interfere with or disrupt the Services or servers, including through malicious code, scraping, or automated access
• Attempt to gain unauthorized access to any account, system, or data
• Upload content that is harmful, infringing, defamatory, discriminatory, or otherwise objectionable
• Resell, sublicense, or commercially exploit the Services without ATAC's written consent

8. Privacy

Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Third-Party Services

The Services integrate with third-party services including Stripe (payments), Postmark (transactional email), Mailchimp (marketing email and SMS), Alchemy (blockchain infrastructure), and others. Your use of those third-party services is subject to their respective terms. ATAC is not responsible for third-party services.

10. Service Availability and Changes

We strive to maintain high availability but do not guarantee uninterrupted access. The Services are provided on an "as is" and "as available" basis. We may modify, suspend, or discontinue any feature of the Services at our discretion.

11. Account Termination

You may close your account at any time. We may suspend or terminate your account for violation of these Terms, non-payment, fraud, or other reasons at our reasonable discretion.

Upon termination, your right to access the Services ends. Blockchain credential records, consent records, and records required by law will be retained. See our Privacy Policy for details on data retention after account closure.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. ATAC DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

ATAC does not warrant that earning a credential will result in employment, job offers, promotions, or any specific outcome. Employer decisions remain solely with the employer.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ATAC, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICES.

ATAC's TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID ATAC IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) CAD $100.

14. Indemnification

You agree to indemnify and hold ATAC harmless from any claim, loss, liability, or expense (including reasonable legal fees) arising from your violation of these Terms, your misuse of the Services, your violation of applicable law, or your infringement of any third-party right.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Binding Arbitration and Class Action Waiver: Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved through final and binding arbitration conducted by ADR Chambers in Toronto, Ontario, in accordance with their Regular Arbitration Rules. YOU AND ATAC WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING.

Notwithstanding the foregoing, either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights or confidentiality obligations.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will bump the version number, update the "Last revised" date, and prompt existing users to accept the updated version at next action. Continued use of the Services after an update constitutes acceptance of the revised Terms.

17. Severability and Entire Agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with the Privacy Policy, Refund Policy, and Blockchain Credential Disclosure, constitute the entire agreement between you and ATAC regarding the Services.

18. Language

The parties have expressly required that these Terms and all related documents be drawn up in the English language. Les parties ont expressément exigé que la présente entente et tous les documents qui s'y rattachent soient rédigés en langue anglaise.

19. SMS and Text Messaging

If you opt in to receive text messages from ATAC, you agree to receive recurring automated messages at the mobile number you provide. Consent to receive marketing messages is not a condition of any purchase or service.

Message frequency varies and may include up to 10 messages per month based on your interactions with the Services. Message and data rates may apply. You may opt out at any time by replying STOP to any message. Reply HELP for assistance.

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. SMS delivery is provided by Mailchimp on our behalf under a written data processing agreement.
